OralTrim IS DESIGNED FOR SPECIFIC NON-EMERGENCY MEDICAL CONDITIONS. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, PLEASE DIAL 911 OR CONTACT YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY.

This User Agreement (collectively with OralTrim's Privacy Policy) applies to your use of all sites (collectively, the “Sites”) to which this User Agreement is linked, and the services, features, content, or applications (together with the Sites, the “Services”) offered by OralTrim and our affiliated brands and products. The terms “we”, “us”, “our” and “OralTrim” refer to OralTrim, LLC, a New York limited liability company located at 7014 13th Avenue, Suite 202, Brooklyn, NY 11228.

Please read this User Agreement carefully as it sets forth the legally binding terms and conditions for your use of our Services.

THIS USER AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION IN SECTION XVIII WHICH INCLUDES A CLASS ACTION, CLASS ARBITRATION, AND JURY TRIAL WAIVER. THESE PROVISIONS REQUIRE THE USE OF ARBITRATION TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. BY ACCEPTING THESE TERMS, YOU EXPRESSLY AGREE TO BE BOUND BY AND ABIDE BY THIS AGREEMENT.

I. Introduction

These Terms of Use (the “Terms”) describe your rights and responsibilities regarding the OralTrim website (“website” or the “Platform”) owned and operated by OralTrim.

In these Terms, “we”, “our”, “us”, and “OralTrim” collectively refer to OralTrim and any products, subsidiaries, and affiliations. The terms “you” and “yours” refer to the person using the Platform. Use of the Platform is governed by these Terms and our Privacy Policy. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by and comply with these Terms and our Privacy Policy.

You agree that when you use or enter the Platform, you affirmatively consent to conduct business electronically with OralTrim and engage in health-oriented activities with health professionals and professional entities affiliated with OralTrim, and such processes have the same force and effect as your written signature.

II. Modification of Terms

We reserve the right, in our sole discretion, to amend these Terms, in whole or in part, at any time and for any reason, without penalty or liability to you or any third party. You should check the Terms from time to time when you use the Platform to determine if any changes have been made. You can determine when the Terms were last revised by referring to the “Last Modified” notation above. If you use the Platform after the amended Terms have been posted, you will be deemed to have agreed to the amended Terms.

III. Description of OralTrim

You understand and agree that the Platform is intended to facilitate the following services (the “Services”): (a) the development and gathering of healthcare records and information for use in medical provider encounters; (b) administrative support in connection with scheduling and payment for Healthcare Services; (c) administrative support in connection with coordinating fulfillment and payment for prescription medications ordered or prescribed by medical providers; and (d) telecommunications and technology support for using the Platform as a means of access to medical providers through affiliated professional entities.

You understand that the Platform gathers unique information from you to enable an affiliated medical provider through the Healthcare Services to determine whether a prescription or treatment is indicated and appropriate for you, including applicable health information and personal information (collectively, “Your Information”).

All medical providers who deliver Healthcare Services through the Platform are: (i) independent professionals contracted or employed with affiliated professional entities that coordinate with OralTrim, including a licensed telehealth provider; and (ii) solely responsible for such Healthcare Services provided to you.

OralTrim does not provide any Healthcare Services through the Platform and is not licensed to practice medicine. OralTrim does not control or interfere with the provision of Healthcare Services by the medical providers and affiliated professional entities, each of whom is independent and solely responsible for the Healthcare Services provided to you.

IV. Eligibility

In order to use the Services through the Platform, the following must be true:

  1. You are at least 18 years of age or older.
  2. You live in the United States and in a state or territory where the Services are available.
  3. You agree to be legally bound by and comply with these Terms of Use.
  4. You must have compatible computing and/or mobile devices, access to the Internet, and certain necessary software to use the Platform.

You understand and agree that satisfying the above requirements does not guarantee that you will receive the Services through the Platform.

V. Registration and User Accounts

Although certain parts of the Platform are accessible by any individual, you are obligated to register with OralTrim in order to access the Services. Upon registration, you agree that all information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account.

VI. Your Responsibilities

As a condition of your use of the Services, you agree to the following:

  • All information you provide through the Platform is accurate, complete, and correct.
  • Your permission to use the Platform is personal and will be used only by you.
  • You agree to immediately notify OralTrim of any unauthorized use of your username, password, or any other breach of security at support@oraltrim.com.
  • You understand that provision of Healthcare Services depends on the completeness and accuracy of Your Information.

VII. Restrictions on Use

You will not use, or encourage or permit others to use, our Platform except as expressly permitted in these Terms. You will not:

  • Use or attempt to use the Platform for any other person than yourself.
  • Access or use the Platform in any manner that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party, or that violates any applicable law.
  • License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the Platform.
  • Take any action which could damage, destroy, disrupt, disable, overburden, or interfere with the Platform.
  • Bypass, breach, avoid, remove, deactivate, or otherwise circumvent any security device or protection implemented on the Platform.
  • Input, upload, transmit, or otherwise run or propagate any virus, Trojan horse, or any other harmful computer code.

VIII. Licensing

Subject to your compliance with these Terms, OralTrim grants you a personal, limited, revocable, nonexclusive, and non-transferable license to view, download, access, and use the Platform and its content, solely for your personal and non-commercial use. No other right, title, or interest in the Platform is transferred to you.

IX. Disclaimer of Limited Healthcare Services

The Platform is structured for use specific to certain healthcare services and is not, and should not, be considered or used as comprehensive medical advice, care, diagnosis, or treatment. Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition.

THE SERVICES ARE NOT INTENDED TO REPLACE YOUR RELATIONSHIP WITH YOUR PRIMARY CARE PHYSICIAN OR OTHER HEALTHCARE PROVIDER. ALWAYS CONSULT YOUR OWN HEALTHCARE PROVIDER IF YOU HAVE CONCERNS ABOUT YOUR HEALTH OR MEDICAL CONDITION.

X. Compounded Medications

If your provider prescribes a compounded medication, you understand and acknowledge that compounded medications are produced in FDA-regulated facilities. However, compounded medications are NOT FDA-approved and have not been evaluated by the FDA for safety, efficacy, or quality. The decision to prescribe compounded medications is based on your provider's independent clinical judgment.

XI. Payment and Subscription

Your membership in the program (“Subscription Service”) begins when you have completed the intake process, at which time you will be charged for the first month of service. The Subscription Service includes access to providers, program materials, and ongoing support. Medication, if prescribed, is billed separately.

There is no guarantee of results or effectiveness due to your participation in the Subscription Services.

XII. Intellectual Property

The Platform and all content, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by OralTrim, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

XIII. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. ORALTRIM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

XIV. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ORALTRIM, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR THE SERVICES.

XV. Indemnification

You agree to indemnify, defend, and hold harmless OralTrim, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any applicable law or regulation.

XVI. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

XVII. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

XVIII. Dispute Resolution and Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. YOU AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
